Despite CBD’s Popularity, Americans Still Don’t Understand Its Effects And Capabilities

There’s always been some confusion when it comes to the differences between CBD and THC. The latter, and much more famous compound, has been the subject of dozens of pop culture references and discussions; the former is only now acquiring some recognition.

On the most basic level, the difference between THC and CBD is the fact that one gets you high while the other one doesn’t. CBD or cannabidiol, produces relaxing and therapeutic effects without producing that high feeling, an element that has allowed the compound to be used in many products with manufacturers not having to worry over the legal aspects that tend to cripple cannabis.

CBD’s rise over the past year has been well documented. Experts say its business could be valued at $22 billion by the year 2022. The New York Times wrote an article discussing the compound’s current popularity, and the fact that it’s been added into every product imaginable, ranging from dog treats to shampoo and skincare products. Celebrities have jumped aboard the CBD business, endorsing products and creating lines of their own. “Right now, CBD is the chemical equivalent to Bitcoin in 2016,” says Jason DeLand, board member of Dosist.

Having read all of this, you’d think that a respectable amount of people would have tried the compound or would know what it is, but there’s still a lot of misinformation that surrounds it.

A survey conducted by Mashable demonstrates that no matter how many times people stumble upon CBD-infused products or read the name in all sorts of headlines, they probably don’t know what it is if they’re not actively involved with cannabis.

This survey contacted over 2,000 people on January 2019, and showed that only 19 percent of Americans have tried CBD infused products. 61 percent of the subjects surveyed don’t even know what CBD means. A small cluster of people, 13 percent, have tried CBD products without knowing its effects.

It seems like the problem with CBD remains ignorance. People who know of its therapeutic effects are the ones who are interested in purchasing these products and learning more about them.

Marijuana Stocks And 5 Reasons Cannabis Companies Go Public

There are a number of reasons why companies choose to go public, including: fundraising, publicity, credibility, liquidity and currency.

A number of cannabis companies have gone public over the last several years, with the majority listed on a small exchange in Canada called the Canadian Securities Exchange (“CSE”). Many have done so via reverse takeover—a merger transaction in which a private company acquires a public shell company, merges into it, and then takes it over and changes its name—rather than resorting to an initial public offering, a more common practice in which a private company sells shares to the public and is then listed on a public exchange.

There are a number of reasons why companies choose to go public, including:

  • Fundraising: It enables companies to raise large(r) amounts of capital from external investors.
  • Publicity: Going public is a watershed moment, raising a company’s profile among investors, customers, competitors, and the general public.
  • Credibility: Becoming and being a public company is somewhat of a status symbol. It shows that you’ve “made it” and can handle the rigorous disclosures and transparency required by investors and regulators.
  • Liquidity: It allows longtime employees and investors to “take some chips off the table” by monetizing some or all of their holdings.
  • Currency: Public stock can more easily be utilized for acquisitions.

These last two aspects, liquidity, and currency were analyzed for the 30 largest CSE-listed companies with U.S. operations (and compared against a group of 30 U.S.-listed micro-cap biotech, brewing, vitamins/supplements, and natural food companies) to assess the benefits of these listings.

As you can see in the chart below, there is a meaningful lack of liquidity for the CSE-listed companies. The comparable stocks have nearly three times the average daily trading volume of the CSE-listed cannabis companies. Also, there is a long “tail” with the CSE-listed stocks. The overwhelming majority have extremely thin volume—some had days where literally zero shares were traded—with just a handful garnering meaningful volume.

When a company is doing a follow-on equity offering, the sizing is important. If a company sells too much stock relative to daily trading volume, it risks flooding the market and driving down the stock price. A sanity check also occurs, looking at how many days of trading it would take for all the newly sold shares to trade. Five to 10 percent is the norm, though higher levels are also possible. Given the thin trading, the ability to do a block trade (selling a large lot of shares to a third party) is also limited.

In an M&A situation, this matters a great deal—the seller becomes largely “stuck” in the company and can’t easily monetize their holdings. In fact, when one looks at several of the recent all-stock acquisitions, it appears as if it will take years for the sellers to convert their shares into cash.

Any company contemplating listing on the CSE or another foreign exchange should consider pursuing status as a “foreign private issuer” and how that may impact liquidity. There are some substantial potential benefits to being a foreign private issuer, including faster market access and less onerous reporting requirements. But maintaining foreign private issuer status can create additional liquidity concerns for some shareholders.

A foreign private issuer must either have the majority of its voting stock held by non-U.S. residents or operate outside the U.S. The only option for U.S.-based cannabis companies is to ensure the majority of voting stock is held by non-U.S. residents. Determination of what the majority of voting stock means can be based on either voting power or a quantitative number of shares.

Companies often create a class of super-voting, super-conversion compressed preferred stock that is exchangeable into publicly traded common shares. The preferred stock class—sometimes called Class A stock, but naming conventions vary from company to company—can be set up so that, on a converted basis, the holders of the preferred stock have the same economic and voting rights they would have had if they held common stock instead. But a company must usually impose conversion restrictions to ensure foreign private issuer status is maintained. If too many people convert at the wrong time a company can lose its foreign private issuer status.

Anyone receiving compressed shares should carefully review the terms of such stock so they can be aware of when and how they can convert into freely trading common stock. It may not always be possible to freely convert such preferred stock and the preferred stock may not be as easy to sell as the common stock, creating another potential liquidity issue that should be managed up front.

Could This Offshore Tax Haven Ease Cannabis Laws For American Companies?

Marijuana companies seeking offshore European tax havens to set up shop, look no further; the Isle of Man is about to loosen its cannabis laws.

Residents in the Irish Sea territory have been invited by the government to respond to a wide range of issues surrounding the availability of cannabis. Over-the-counter sales could be approved, and doctors could be allowed to prescribe it for a range of conditions. The island is also looking at how it can facilitate businesses looking to expand into this area.

Multiple consultations are being launched over the next six weeks; one will ask if access to cannabis for medicinal purposes should be widened. Currently, it is restricted to patients in three closely defined categories.

Children with severe forms of epilepsy, adult cancer patients suffering from nausea and vomiting as a result of chemotherapy, and adults with muscle stiffness caused by multiple sclerosis are currently eligible to be prescribed medicinal cannabis.

Home Affairs minister Bill Malarkey MHK said the issues were “deliberately” being consulted on independently so that those in favor of legalizing cannabis for recreational use did not “distort the figures within the medical side”. Decriminalizing the recreational use of cannabis will be considered at a later date.

The UK tweaked its laws in November last year to allow specialists to prescribe the drug, and as a Crown Dependency, a territory for which the UK is responsible but has no power over, the rules also apply in the Isle of Man. The consultation on industrial hemp will ask for views on whether the law should change to allow the growing of hemp for commercial use, under a licensing system.

Given its proximity to Britain, the Isle of Man enjoys a temperate climate, with cool summers and mild winters. The average rainfall is high compared to the majority of the British Isles, and all things considered, it is probably one of the most ill-equipped geographies in which to start a cannabis grow op.

Perhaps of more interest is the Isle of Man’s tax policy. Along with the Bailiwick of Guernsey and the Bailiwick of Jersey, the Isle of Man uses legal loopholes surrounding its status as a British Crown Dependencies to facilitate tax avoidance on a massive scale.

This blog concerns itself with European issues, but we are well aware of the eye-watering tax rates many North American cannabis companies are finding themselves subject to. The Island has a standard zero rate of corporate tax, no capital gains or inheritance, or wealth tax, although a higher rate of 10 percent is applied to banking activity and retail businesses with annual taxable profits of £500,000 ($647,000) or more.

It is often regarded as the top jurisdiction for licensing, regulation, headquartering and administration of the biggest online gaming companies in the world, and is also home to major gaming companies and software developers.

The Isle of Man has also set itself up as “Bitcoin Island,” having rejigged its legislation to allow start-ups and cryptocurrency firms to set up shop and enjoy tax breaks, firmly pissing off the likes of Gibraltar, Malta, and the Cayman Islands, who are all attempting to do the same thing.

At a time when the European Union is mulling a review of medicinal cannabis legislation, and several domestic states are drafting up their own laws, it would make sense that a European jurisdiction known for its favorable tax laws, that is not an official part of the European Union, would suddenly make eyes at overseas cannabis firms.

Now back to the boring legal bit: In the Isle of Man, it is currently illegal under the Misuse of Drugs Act 1976 to cultivate the plant, which is a variety of Cannabis sativa.

Hemp is grown in more than 30 countries for the production of fiber, usually under a system based on granting licenses or permits to growers. It’s thought industrial hemp as a commercial crop could support sustainable farming and open up economic opportunities for the Island; the consultation will ask whether the public sees this as acceptable.

This Is Why You Hate The Sound Of Your Own Voice

Listening to the sound of your own voice is right up there with seeing yourself on television. For some, it’s even worse. As much time as we spend with ourselves each day, it’s still jarring when we hear ourselves speak. When we hear a recording of ourselves, many of us immediately want to know, “Is that really what I sound like?” None of us want to hear the answer.

According to vocal researcher at MIT Rébecca Kleinberger, it’s all about filters. Even though our ears are close to our mouths, the sound we emit is filtered differently for us then it is for someone else. Kleinberger tells INSIDER:

When you hear other people talk, or when people hear you talking, the sound is transmitted through air, which has its own way of filtering sounds. This means if I look at the spectrum of my voice when it leaves my lips when it arrives in your ear — it’s slightly different. If you are further away the sounds is less loud and it would sound different underwater for example.

She explains that when you hear your own voice, the bone filters out some of the higher frequencies and keeps more of the low ones, so you’re almost hearing yourself more musically harmoniously than other people hear it.

What’s fascinating is that Kleinberger says we usually only hate our voice if we know it’s ours. In fact, according to INSIDER, in one study, subjects rated their own voice more attractive than other people did.

“But as soon as they knew it was their voice they rated it way lower,” said Kleinberger. “So somehow we don’t dislike our voice, we only dislike it when we realize it’s our voice.”

Another reason we might hate our voice: it can tell a lot about us — our mental state, our emotional state and self confidence. And who wants to hear all that?

Ariana Grande’s last album Thank U, Next was released six months after Sweetener, the record that awarded her the title of 2018’s pop star of the year. Grande’s personal and public life have been well documented in the media and in her music, making Thank U, Next an album that people will speculate and mull over until their heads fall off. Still, none of this distracts from the fact that Grande is doing the best work of her career, finding new and darker ways of making pop songs. “Break up with your girlfriend, i’m bored,” is just as daring and fun as its name—if you’re still unconvinced about Ariana Grande, give it a listen.

Foxygen — Livin’ A Lie

“Livin’ A Lie” starts off like a lot of indie songs from bands made up of white guys, until it moves on and does something different. The sound becomes expansive and the song sprawls, with voices and noises popping up in different parts, resulting in something rather unexpected. Foxygen is always looking to push the envelope and weird you out, in a good way. Their sixth studio album titled Seeing Other People is slated for release on April and it’ll be worth a listen.

Why Haven’t Canadian Pot Stocks Exploded As Expected?

There was a point last year when a person couldn’t check up on marijuana news without seeing something about how pot stocks were becoming the key to financial success. Sure, there were other reports that pointed out the average investor would have been out of his or her lunatic mind to get involved with this business sector while it is still considered illegal in the eyes of the federal government, but green eyes are often blind. Most of these maniacs have been hell-bent on getting their foot on the door of the cannabis trade because of what is happening to the north.

As of last October, marijuana is fully legal in Canada. This means all of the cannabis firms operating in that part of the world are doing so without any risk of crackdowns, shutdowns and other prosecutorial measures as a result of dabbling in an outlaw substance. Nope. All is well in the Canadian cannabis industry. So why haven’t cannabis stocks experienced an explosion as expected?

Pot stocks have been relatively flimsy this week since a report from Statistics Canada showed that cannabis consumption hasn’t changed much since the legal pot market was rolled out. The numbers (both consumers of legal and black market weed were counted) show that 4.6 million people are using marijuana, which is the exact same as what was reported in the last part of 2018. The report goes on to suggest that more Canadians may give the market a shot in the coming months, but there are no guarantees.

Cannabis stocks have started to swell again in the United States, mainly because a lot of investors are convinced that weed is about to go fully legal. Meanwhile, financial experts are warning that pot stocks are a “fad,” a veritable bubble similar to what happened in the Tech market back in the 1990s, which is destined to leave early, overly-ambitious investors broke by the time it’s all said and done.

“Cannabis stocks are a fad,” George Boyan, president of Leumi Investment Services, told CNN. “Who knows where the market will go? And the problem with speculative investments? They all have an expiration date.”

It’s not that the cannabis industry is destined for failure, it’s more about these companies not being worth the paper they’re print on. Most Canadian pot stocks are overpriced. In other words, this business sector has a long way to go before it matures. Still, that hasn’t stopped many American companies from moving north to participate in legal weed without receiving blowback.

But it is conceivable that the majority of these American cannabis operations are just going to come running back to the states full throttle, forgetting all about Canada, as soon as prohibition is no longer a factor in the United States. That’s when major consumer companies like Coke, Pepsi, and the alcohol companies, many of which are working on launching cannabis products in Canada, are more likely to become fully vested in legal weed. This is what the cannabis industry needs right now to play ball with the big kids—the support of larger business. This will help legitimize the sector. But that isn’t going to happen on the scale that is needed until prohibition in the U.S. is dead.

So buying up cannabis stocks right now is more of a risk than responsible financial planning. All major stocks like Apple and Amazon are still better buys.

A YouTube channel that’s gathered some notoriety and that produces a large amount of content is called Relax My Dog. Founder Amman Ahmen explains that the company interlaces their songs with a high pitched noise that functions as a dog whistle, holding your dog’s attention over long periods of time. Although there’s not a lot of science that supports these findings, customer feedback suggest that the videos work, soothing humans who in turn project calm and peacefulness onto their pets.
